They join IC meetings, management presentations, diligence calls, and portfolio reviews. They transcribe everything, generate summaries, and surface action items. For a deal team evaluating dozens of opportunities per year, the appeal is obvious: automated meeting records that capture every detail.
The problem is what happens to those recordings after the meeting ends. Most AI notetaker tools send audio and transcripts to the tool provider's servers, where the data is processed, stored, and in some cases used to improve their models. For deal teams handling confidential transaction data — the kind covered by NDAs, LP agreements, and insider trading regulations — that data flow creates risks that most firms have not fully evaluated.
What AI Notetakers Actually Do With Your Data
Understanding the risk starts with understanding the architecture. When a cloud-based AI notetaker joins your meeting, here is what happens technically.
The tool captures the meeting audio and transmits it to the provider's servers. On those servers, the audio is transcribed using the provider's AI models. The transcript is processed to generate summaries, action items, and searchable notes. The resulting data — both the raw audio and the processed outputs — is stored on the provider's cloud infrastructure.
Even tools that market themselves as privacy-focused typically still follow this pattern. "Privacy" in this context usually means they have security controls and data handling policies. It does not mean the data stays on your infrastructure. The processing happens on their servers.
Now consider what that means for a deal team. Your IC discussion about a target company's valuation — including the revenue multiples you are willing to pay, the risks you identified in diligence, and the terms you plan to negotiate — is now sitting on a third party's servers. Your management presentation, where the target CEO walked through customer concentration, pipeline projections, and margin improvement plans, is transcribed and stored outside your firm's control. Your diligence call, where your team discussed findings that could materially affect the deal price, exists as a searchable record on someone else's infrastructure.
This is not a theoretical risk. It is the direct consequence of how these tools work.
The Specific Risks for Deal Teams
The general privacy concern — that your data is on someone else's servers — translates into several concrete risks that are specific to deal team activity.
Confidentiality breach under NDAs and LP agreements. When your firm signs an NDA with a seller or intermediary, that agreement typically prohibits sharing confidential information with unauthorized third parties. LP agreements contain similar restrictions on the handling of fund-level information. Sending meeting audio to an AI notetaker tool means routing that confidential information through a third-party service provider that is not party to those agreements. Depending on the specific terms, this could constitute a breach.
Material non-public information exposure. For transactions involving public companies — whether a take-private, a PIPE investment, or a public-to-private merger — meeting conversations frequently contain material non-public information. When MNPI is processed and stored by a third-party AI tool, the chain of custody becomes impossible to fully control. These represent your firm's proprietary judgment — the analysis that differentiates your investment decisions. If any of this data ends up in a training dataset, it could theoretically surface in outputs generated for other users of the same tool, including competitors evaluating the same opportunities.
Data persistence beyond your control. Even after you delete transcripts from a notetaker tool's interface, data may persist in backups, system logs, and derived datasets. Once audio leaves your infrastructure and enters a third-party system, you have no mechanism to guarantee its complete removal. The data exists in an environment governed by the provider's retention policies, not yours.
Why "Enterprise" Tiers Don't Solve the Problem
Most AI notetaker tools offer enterprise plans that include SOC 2 compliance, encryption at rest and in transit, access controls, and contractual commitments not to use your data for model training. These are meaningful security improvements over consumer tiers.
But the fundamental architecture does not change. Your meeting audio still leaves your infrastructure, transits the provider's network, is processed on the provider's servers, and is stored in the provider's cloud environment. SOC 2 certification means the provider has implemented security controls — it does not mean your data stays within your firm's perimeter.
For deal teams whose confidentiality obligations are governed by NDAs, LP agreements, and securities regulations, the distinction between "secure cloud processing" and "processing on infrastructure you control" is not a technicality. It is the difference between data that your firm governs and data that exists subject to a vendor's policies, security posture, and corporate decisions — all of which can change.

Transcripts, summaries, and action items are generated and stored entirely within the firm's security perimeter. No audio is transmitted to a third-party provider. No transcripts exist on anyone else's servers.
The firm gets the same productivity benefit — searchable meeting records, automated summaries, and action item extraction — without the data leaving the firm's control. NDA obligations are satisfied not by a vendor's contractual promise, but by an architecture that makes external data transmission impossible.
